1 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and DataR technology Co. Ltd. ("MiraNu," "we," "us," or "our") regarding your access to and use of the MiraNu AI agent orchestration platform and all related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

MiraNu provides an AI agent orchestration platform that enables users to:

Create AI Agents

Build and deploy custom AI agents using multiple AI models

ChatGPT Integration

Use agents directly within ChatGPT conversations

Multi-Agent Teams

Coordinate multiple agents to work together

API Access

Programmatic access for developers (Pro/Enterprise)

⚠️ Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.

3 Account Registration and Responsibilities

3.1 Account Creation

To use certain features of our Services, you must create an account by providing:

A valid email address
Your name (or company name for business accounts)
A secure password
Any other information requested during registration

You agree to provide accurate, current, and complete information and to update it as necessary.

3.2 Account Security

• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized access or security breach
• We are not liable for losses arising from unauthorized use of your account

3.3 Age Requirements

Our Services are available to users of all ages. However:

Users under 13 should use the Services with parental guidance
Users under 18 may need parental consent to enter into contracts (depending on local law)
Parents/guardians are responsible for monitoring minors' use of the Services

3.4 One Account Per User

You may not create multiple accounts to circumvent subscription limits, access additional free trials, or for any fraudulent purpose.

4 Payment and Subscription Terms

4.1 Subscription Plans

4.2 Free Trial

🎁 14-Day Free Trial

• New Pro subscribers receive a 14-day free trial
• No credit card required to start the trial
• Cancel anytime during the trial without charge
• After trial ends, your subscription will begin unless you cancel

4.3 Billing Cycles

You may choose:

Monthly Billing: Charged every month on the date you subscribed
Annual Billing: Charged once per year (save up to 20%)

Subscriptions automatically renew unless you cancel before the renewal date.

4.4 Payment Methods

We accept:

Payment processing is handled by secure third-party payment processors. We do not store your full credit card details.

4.5 Refund Policy

⚠️ No Refunds

All subscription fees are non-refundable. If you cancel your subscription, you will retain access to paid features until the end of your current billing period, but no refund will be issued for the remaining time.

Exception: If we terminate your account due to our error, we may provide a pro-rated refund at our sole discretion.

4.6 Price Changes

We may change our pricing at any time. For existing subscribers:

Price changes will apply at your next renewal date
We will notify you at least 30 days before the change takes effect
You may cancel your subscription before the new price takes effect

4.7 Taxes

Prices do not include applicable taxes. You are responsible for paying all taxes associated with your use of the Services, including sales tax, VAT, GST, or other local taxes.

5 Acceptable Use Policy

You agree not to use the Services to:

Illegal Activities

Engage in any unlawful activity, including fraud, hacking, or distribution of illegal content

Harm to Others

Harass, threaten, impersonate, or violate the rights of others

Security Violations

Attempt to bypass security measures, access unauthorized data, or disrupt the Services

Abuse of Resources

Use the Services in a manner that excessively consumes resources or degrades performance for others

AI Misuse

Create AI agents for spam, misinformation, deepfakes, or other harmful purposes

⚖️ Consequences of Violation

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund. We may also report illegal activities to law enforcement.

6 Intellectual Property Rights

6.1 MiraNu's Rights

All rights, title, and interest in and to the Services (excluding User Content) are and will remain the exclusive property of MiraNu and its licensors. This includes:

The MiraNu platform software and code
The MiraNu brand, logos, and trademarks
Our website design and content
Any features, functionality, and improvements we develop

6.2 License to Use Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or business purposes.

⚠️ Restrictions: You may not copy, modify, distribute, sell, or reverse engineer the Services or any part thereof.

6.3 Third-Party Services

The Services integrate with third-party AI models (OpenAI, Anthropic, Google). Your use of these models is subject to their respective terms of service:

7 User Content and AI Agents

7.1 Ownership of Your Content

✅ You Own Your AI Agents

You retain all ownership rights to the AI agents you create, including their configurations, prompts, and any original content you input. MiraNu does not claim ownership of your agents or content.

7.2 License You Grant to Us

By creating content using our Services, you grant MiraNu a limited license to:

Store and process your content to provide the Services
Back up your content for disaster recovery
Display your content back to you within the platform

This license ends when you delete your content or close your account.

7.3 We Do NOT Use Your Content for Training

🔒 Privacy Guarantee

We do NOT use your AI agents, prompts, or content to train our models or improve our Services. Your data is completely private and confidential.

7.4 Your Responsibilities

You are solely responsible for:

The content you create and share using the Services
Ensuring your content does not violate laws or third-party rights
Any consequences arising from your use of AI agents

7.5 Prohibited Content

You may not create or share content that:

Infringes intellectual property rights
Contains malware, viruses, or harmful code
Is defamatory, obscene, or otherwise objectionable
Violates our Acceptable Use Policy (Section 5)

8 Service Availability and Warranties

8.1 Service Uptime

We strive to maintain high availability, but we do not guarantee uninterrupted access:

8.2 Scheduled Maintenance

8.3 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be error-free, secure, or uninterrupted. AI-generated content may be inaccurate—use at your own discretion.

9 Limitation of Liability

9.1 Maximum Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:

The amount you paid to us in the 12 months preceding the claim, OR
USD $100

9.2 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

Indirect, incidental, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Cost of substitute services
Damages arising from AI-generated content or errors

9.3 Third-Party Actions

You agree to indemnify and hold harmless MiraNu from any claims, damages, or expenses (including legal fees) arising from:

Your use of the Services
Your violation of these Terms
Your violation of any third-party rights
Content you create or share using the Services

10 Termination

10.1 Termination by You

You may cancel your account at any time by:

Using the account deletion feature in your settings, OR
Emailing us at support@datar.ai

Upon cancellation, you will retain access until the end of your current billing period. No refunds will be provided for unused time.

10.2 Termination by Us

We may suspend or terminate your account immediately if:

You violate these Terms or our Acceptable Use Policy
Your account shows signs of fraudulent activity
You fail to pay subscription fees
We are required to do so by law

10.3 Effect of Termination

Upon termination:

Your access to the Services will end immediately
Your AI agents and data will be deleted within 30 days (see our Privacy Policy)
Backup copies may persist for up to 90 days
Sections of these Terms that should survive (liability, disputes, etc.) will remain in effect

11 Dispute Resolution

11.1 Informal Resolution

Before filing a legal claim, you agree to contact us at support@datar.ai to attempt to resolve the dispute informally. We will work in good faith to reach a mutually agreeable solution.

11.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Taiwan (Republic of China), without regard to its conflict of law principles.

11.3 Jurisdiction

Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in Taipei, Taiwan.

11.4 Class Action Waiver

You agree to resolve disputes on an individual basis. You waive the right to participate in class actions, class arbitrations, or representative actions against MiraNu.

12 General Provisions

12.1 Changes to Terms

We may update these Terms from time to time. When we make material changes:

We will update the "Last Updated" date at the top
We will notify you via email or in-app notification
Your continued use of the Services constitutes acceptance of the new Terms

12.2 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and MiraNu regarding the Services.

12.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

12.4 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

12.5 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights to any affiliate or successor without restriction.
